Terms of Service

§ 2 What ClauseDesk is — and is not

ClauseDesk is an automated document-generation tool. It is not a law firm and does not provide legal advice. No solicitor-client relationship is created by your use of the Service. The Service does not review your circumstances, exercise legal judgment, or guarantee that any document is appropriate, complete or enforceable for your situation. § 3 Eligibility and accounts

You must be at least the age of majority in your province and able to enter into a contract. You are responsible for the accuracy of your account information and for all activity under your account. Keep your login credentials secure.

§ 4 Subscriptions, billing and cancellation

Paid plans ([Starter], [Professional]) are billed in advance on a recurring [monthly or annual] basis in Canadian dollars and renew automatically until cancelled. You may cancel at any time from [your account settings]; cancellation takes effect at the end of the current billing period, and you retain access until then. § 5 AI-generated content and accuracy

Documents are generated by an automated AI system and are provided on an "as is" basis. They may contain errors or be unsuitable for your needs. You are solely responsible for reviewing every document and for obtaining professional legal advice before you use, sign or file it.

§ 6 Acceptable use

You agree not to use the Service unlawfully, to generate documents intended to deceive or defraud, to infringe the rights of others, or to attempt to disrupt or reverse-engineer the Service.

§ 7 No warranty

To the fullest extent permitted by law, the Service and all generated documents are provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and legal sufficiency.

§ 8 Limitation of liability

To the fullest extent permitted by law, the total liability of ClauseDesk arising out of or relating to the Service is limited to [the amount you paid to us in the twelve months before the event giving rise to the claim]. ClauseDesk will not be liable for indirect, incidental, special or consequential damages, including losses arising from reliance on a generated document. Some consumer-protection laws limit how far liability may be excluded; nothing in these Terms limits rights that cannot lawfully be limited.

§ 9 Indemnity

You agree to indemnify and hold harmless ClauseDesk from claims, damages and expenses arising out of your use of the Service or of any document generated through it.

§ 10 Intellectual property

The Service, its templates, branding and software are owned by [ClauseDesk Technologies Inc.] and its licensors. Subject to these Terms, you receive a limited licence to use documents you generate for your own lawful purposes.

§ 11 Third-party services

The Service relies on third-party providers, including an AI provider, a payment processor and a hosting provider. Your use of the Service may also be subject to those providers' terms.

§ 12 Suspension and termination

We may suspend or terminate access to the Service for any account that breaches these Terms or that we reasonably believe is being used unlawfully.

§ 13 Governing law
